ANNOUNCEMENT ON THE DETAILED AGENDA OF THE EXTRAORDINARY GENERAL ASSEMBLY
Dear Members,
At the meeting of our TÜRSAB Board of Directors dated 21.04.2025, in order to ensure that the immovables that are currently in the use of our Association, especially our Central Office Building, but whose deeds are not registered on TÜRSAB, and the shares of the companies that are partners of our Association and are engaged in activities related to services for our members are registered on behalf of TÜRSAB on 23. 05.05.2025 Friday at 10.00 am at Istanbul Lütfi Kırdar International Convention and Exhibition Center - Rumeli Hall, Harbiye/ISTANBUL, and if the majority is not achieved at this meeting, it has been decided to hold an Extraordinary General Assembly Meeting on Tuesday, 27.05.2025 at the same place and time 10.00 am with the agenda detailed below.
The agenda items to be discussed at the Extraordinary General Assembly to be held are presented below for the information of you, our esteemed members, and due to the structure of the Extraordinary General Assemblies, we kindly request you to attend the meeting, which will be closed to discussions outside the agenda, without any additions or deletions to the agenda, in order to be informed about the immovable properties and company shares of our Association, which have been discussed in the public with untrue information for a long time, and to form the decision to be made with your votes.
AGENDA ITEMS
1. Authorization for the title deed registration of the ownership of our Association Central Office Building on behalf of TÜRSAB
As it is known, our Central Office Building was sold in foreclosure due to the debts of Türsab Travel Agencies Services Limited Company in Liquidation due to Bankruptcy and was purchased by the creditor Fiba Bank. However, as the debt has been paid in accordance with the agreement signed between Fiba Bank and TURSAV, the deed transfer process must be completed as soon as possible, and therefore a General Assembly resolution is needed for the deed transactions regarding the repurchase of our Central Office Building. The registration of the Central Office Building in the name of the Association is submitted to the discretion of the General Assembly.
2. Authorization to purchase the real estates used as Regional Representation Board (RRB) Buildings or allocated to the activities of the Association and previously owned by TÜRSAB or its subsidiaries as the Association in case of sale
Some of the buildings in which the RRBs of our Association operate or used by the relevant RRBs are in the process of sale by execution due to the debts of Türsab Travel Agencies Services Limited Company in Liquidation Due to Bankruptcy mentioned above or due to the mortgage given by the Association. Since it will be possible to take back the relevant real estates by entering the tender in case of payment of the bank debt or sale by execution, it is submitted to the discretion of the General Assembly to authorize the Board of Directors by the General Assembly regarding the buildings mentioned below in order to realize this issue.

2.2.4. Immovables in the nature of Wooden House with Shop Underneath registered on Block 497, Parcel 1, Tacahmet Neighborhood, Central District of Afyonkarahisar Province, in case the Association needs them
2.3.1. The property registered in the name of TURSAV Tourism and Travel Agencies Foundation Economic Enterprise;
2.3.1. 1st Floor Independent Section No. 3 registered in Antalya Province, Manavgat District, Side Kemer Neighborhood, Block 515, Parcel 5
2.3.2. Land registered in Eskişehir Province, Odunpazarı District, Paşa Neighborhood, Block 12946, Parcel 12
2.3.3. The immovables in the nature of 4th Floor No.36 and 4th Floor No.37 Offices registered in Van Province, İpekyolu District, Tepebaşı Neighborhood, Block 2638, Parcel 6
It is considered to be beneficial for the Association to be able to purchase such immovable properties in case of need of the Association and in accordance with the conditions and for this reason, to participate as the Association of Turkish Travel Agencies in the sales transactions carried out through tenders or similar methods and, if necessary, to purchase the immovable properties offered for sale separately for each of the immovable properties offered for sale or to acquire other real rights on the said immovable properties and to authorize the Board of Directors for the disposals regarding the ownership and limited real rights related to the said immovable properties or to authorize the Board of Directors to be submitted to the General Assembly,
3. Authorization to participate as the Association of Turkish Travel Agencies in the sale of the shares of the subsidiary company of Türsab Travel Agencies Services Limited Company, which is in liquidation due to bankruptcy, to be realized by tender or similar methods
