ANNOUNCEMENT ON THE REPRESENTATIVE AND BINDING POWERS OF OUR MEMBERS WHO WILL EXERCISE THEIR RIGHTS TO VOTE AND BE ELECTED IN RRB ELECTIONS

Dear Members,

As is known, the procedures and principles applicable to our Association's Ordinary General Assembly will also apply to the Regional Representation Board elections. Therefore, individuals presenting with a power of attorney or consent in the RRB elections do not have the right to vote. If a person is authorized to represent more than one travel agency, they are required to submit documents demonstrating their authority to represent and bind each travel agency to TÜRSAB officials.

If more than one person holds the authority to represent and bind members who wish to exercise their right to vote and be elected in Regional Representational Board elections, the following procedures will be applied:

IN LTD COMPANIES

In cases where the authority to represent and bind is held jointly by more than one person: A signed or notarized copy of the Board of Directors' decision designating the representative to participate in the election, along with the current signature circular and identification documents, must be presented to TÜRSAB officials during the voting process. A sample of the decision is included in Appendix 1.

If the authority to represent and bind belongs to one person as a single authority, that person must present the current signature circular demonstrating their individual authority and their identification documents to TÜRSAB officials during the voting process.

If the authority to represent and bind belongs to more than one person as a single authority, the right to vote is exercised by the authorized person with the signature present. The signature circular and identification documents must be presented to TÜRSAB officials during the voting process.

IN JOINT STOCK COMPANIES

If the authority to represent and bind belongs to more than one person as a joint authority: A signed or notarized copy of the Board of Directors' decision designating the representative to participate in the election, along with existing signature circulars and IDs, must be presented to TÜRSAB officials during the voting process. A sample resolution is included in Appendix 2.

If the individual authority to represent and bind belongs to one person, that person must present their individual authority and ID to TÜRSAB officials during the voting process.

If the individual authority to represent and bind belongs to multiple people, the authorized representative with the signature shall exercise the right to vote. The signature circulars and IDs must be presented to TÜRSAB officials during the voting process.

NOTE: If the representative and binding authority information of travel agencies with up-to-date information in our Association and Trade Registry Office records matches official records, presenting a copy of the signature circular along with the original ID is sufficient. If there is more than one person authorized to represent and bind, or if the authority is joint, the procedures implemented by the District Election Board will prevail in the General Assemblies.
